1. Acceptance of Terms

By accessing or using the Mengram API, SDKs, website, or any related services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Mengram provides an AI memory API that stores, searches, and manages knowledge extracted from conversations and text. The Service includes cloud-hosted API endpoints, client SDKs, MCP servers, and a web dashboard.

3. Accounts and API Keys

To use the Service, you must create an account by providing a valid email address. You will receive an API key. You are responsible for:

Keeping your API key secure and confidential
All activity that occurs under your account
Notifying us immediately if you suspect unauthorized use

4. Subscription Plans and Payment

Mengram offers Free, Pro ($19/month), and Business ($99/month) plans. Paid subscriptions are billed monthly through our payment processor, Paddle. By subscribing:

You authorize recurring monthly charges to your payment method
You can cancel at any time; access continues until the end of the billing period
Prices may change with 30 days notice

5. Usage Quotas and Rate Limits

Each plan has usage quotas (memory adds, searches, agent runs per month) and rate limits (requests per minute). Exceeding quotas will result in HTTP 402 responses until the next billing period or plan upgrade. Abuse or circumvention of quotas may result in account suspension.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Store or transmit content that violates third-party rights
Attempt to gain unauthorized access to our systems
Reverse-engineer, decompile, or disassemble the Service
Resell or redistribute the Service without written permission
Use the Service to build a competing product

7. Data and Privacy

Your data is yours. We process it only to provide the Service. See our Privacy Policy for details on data collection, storage, and handling.

8. Intellectual Property

Mengram and its logos, software, and documentation are the property of Mengram. The open-source components are licensed under Apache 2.0. Your content remains your property.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect availability. We are not liable for any downtime or data loss.

10. Limitation of Liability

To the maximum extent permitted by law, Mengram shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination, your data will be deleted within 30 days.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or the dashboard. Continued use after changes constitutes acceptance.
